Terms of Service — Noesis Voice

These terms apply to Noesis Voice ("we", "us", "our"), operated by Samir Kc and Reyaansh Deuza, Kathmandu 44600, Nepal. By using our website or our service, you agree to them. Please read them. If you don't agree, please don't use our website or service.
Our Privacy Policy explains how we handle personal information and is part of these terms.
1. Who can use our service
Our service is for businesses. By signing up, you confirm that you are at least 18 years old and that you have the authority to agree to these terms for your business. "You" means you and the business you represent.
2. What we provide
Noesis Voice is an AI receptionist service. It answers inbound calls that you forward to it, takes details from callers, books appointments, transfers urgent calls to you, and sends you a summary after each call. We set up, configure, and maintain the service for you.
The exact setup for your business — hours, service area, call-handling rules, what counts as an emergency, who urgent calls go to, and which calendar we book into — is agreed during onboarding and confirmed with you in writing. We may improve or change how the service works over time, but we won't remove a core feature you rely on without telling you first.
3. What AI can and can't do
Our assistant is software. It is good at answering and organizing calls, but it is not perfect:
- It may occasionally mishear, misunderstand, or make a mistake. Please read your call summaries and tell us about any problem so we can fix it quickly.
- It follows the rules and information you give us. It can't know things you haven't told us.
- It is an aid to answering your phone. It does not guarantee any number of calls, bookings, jobs, or revenue.
4. Emergencies — please read
Noesis Voice is not an emergency service and does not contact 911 or any emergency services.
- Urgent calls are transferred to the phone numbers you give us. Transfers depend on those numbers being correct and reachable and on phone carriers working. If a transfer can't connect, the call is handled as agreed in your setup.
- When a caller describes a situation that could be dangerous (for example fire, a gas leak, or flooding near electricity), our assistant tells them to hang up and call 911.
- You remain responsible for how your business responds to emergencies.
5. Your responsibilities
You agree to:
- Give us accurate information — hours, prices, service area, emergency rules, and escalation numbers — and tell us when it changes. We aren't responsible for outcomes caused by information that was wrong or incomplete when you gave it to us.
- Forward your calls to the number we provide and keep that forwarding in place while you use the service.
- Follow the law for your calls. Some US states require every person on a call to agree before it is recorded. Our assistant gives callers a recording notice at the start of each call; you are responsible for making sure your use of call recording, and any other notices your state requires, is lawful for your business.
- Get proper consent for outgoing texts or calls. If you ask us to send texts or make calls to your customers, you confirm you have their consent where the law requires it (for example, under the US Telephone Consumer Protection Act).
- Keep your account details secure and tell us promptly if you think someone has accessed your account or data without permission.
6. Acceptable use
You may not use our service:
- for anything unlawful, fraudulent, or misleading;
- to impersonate another business or person;
- to send spam or make unwanted marketing calls or texts, or in any way that breaks telephone consumer protection rules;
- to collect sensitive information (such as full payment card numbers or health records) through the assistant, unless we have agreed a specific setup for it in writing; or
- to attack, overload, copy, or reverse-engineer our service.
We may suspend the service if you break this section. We'll tell you why and, where reasonable, give you a chance to fix it first.
7. Fees and payment
- Setup fee: a one-time setup fee of $200 is due before onboarding begins. It covers training the AI on your business, building and testing your call flow, and connecting it to your line. The setup fee is non-refundable, because it pays for work we do up front.
- First 30 days free: the first 30 days of service after your line goes live are free.
- Monthly fee: after that, service costs about $400 per month, depending on your call volume. Because it depends on volume, we agree your exact monthly rate with you before onboarding and confirm it in writing. That confirmed rate — not the approximate figure on our website — is what you pay.
- Billing: monthly billing starts 30 days after the service goes live on your line and repeats each month. Payments are processed by Payoneer, and receipts are emailed to you. Prices do not include any taxes that may apply.
- Call volume changes: if your call volume changes a lot, we may propose a new rate. We'll give you at least 30 days' notice by email, and you can cancel before it takes effect.
- Late payment: if a payment fails and isn't fixed within 14 days of us telling you, we may pause the service until it is paid.
8. Cancellation
- Service is month to month. There is no minimum term and no cancellation fee. You can cancel at any time, including during the free 30 days, by emailing hello@noesisvoice.com.
- Cancellation takes effect at the end of the billing month you are in. We don't refund part-months.
- When service ends, we help you remove call forwarding so your line goes back to how it was before.
- After cancellation, you can ask for a copy of your call records, and we'll delete your call data as described in our Privacy Policy.
We may end the service by giving you 30 days' notice by email, or immediately if you seriously break these terms (for example, unlawful use). If we end it without cause, we'll refund any fees you prepaid for time after the end date.
9. Service availability
We aim to keep the service running 24 hours a day, but we do not guarantee 100% uptime. We aren't liable for interruptions caused by phone carriers, upstream providers, internet outages, or other events outside our reasonable control. When a problem is within our control, fixing it is our responsibility and our priority, and we'll keep you informed.
10. Your data and our service providers
- Your call data belongs to you. We process it on your behalf and on your instructions, only to provide the service, as described in our Privacy Policy.
- We use trusted providers for phone lines, speech recognition, AI, hosting, and email. They process data only to help us provide the service. We'll tell you who they are during onboarding.
- We keep your business information confidential and don't share it except as needed to provide the service or as the law requires.
11. Testimonials and feedback
- We will only use your business name, logo, results, or a testimonial with your permission.
- If you send us ideas or feedback, we may use them to improve our service without owing you anything.
12. Ownership
- You own your business information, call data, and content.
- We own our service, including our software, call flows, prompts, and designs. You get the right to use the service while your subscription is active. This doesn't transfer ownership of anything we've built.
13. Disclaimer
Except as these terms say otherwise, the service is provided "as is" and "as available". To the fullest extent permitted by law, we don't make any other promises about the service, including that it will be error-free or meet every need.
14. Limitation of liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, or consequential losses — such as lost profits, lost jobs, or lost customers — arising from your use of, or inability to use, the service.
- Our total liability in any twelve-month period is limited to the fees you paid us in that period.
Nothing in these terms limits liability that can't be limited by law.
15. Indemnity
You agree to cover our reasonable costs and losses if a third party makes a claim against us because of: your unlawful use of the service, information you gave us that was wrong, or your failure to meet call-recording, consent, or notice rules that apply to your business.
16. Changes to these terms
We may update these terms. If a change materially affects you, we'll tell you by email before it takes effect. If you keep using the service after that date, you accept the updated terms. If you don't agree, you can cancel before the change takes effect.
17. General
- These terms, your written onboarding confirmation, and our Privacy Policy are the whole agreement between us about the service.
- If any part of these terms can't be enforced, the rest still applies.
- You can't transfer your account to someone else without our written agreement. We may transfer these terms if our business is sold or merged, and we'll tell you if that happens.
- Neither of us is responsible for delays caused by events outside our reasonable control.
